JAC Group and its officers and employees* recognise their corporate social responsibility and establish this Business Ethics Policy to ensure compliance with applicable laws and regulations and conduct consistent with accepted standards of social ethics in day-to-day management and business activities. We also encourage our business partners, including client companies, contractors, and suppliers of services and goods involved in our business activities, to understand the purpose of this Policy and join us in pursuing responsible and sustainable business practices.
*For the purposes of this Policy, ‘employees’ includes permanent and temporary employees, part-time employees, agency workers, and other persons engaged by the Company.
This Policy applies to the officers and employees of JAC Group. Officers and managers of JAC Group recognise that it is their responsibility to uphold the spirit of this Policy, lead by example, and ensure that it is fully communicated to all relevant parties.
- We comply faithfully with all applicable laws and regulations in our management and business activities, maintain a clear distinction between professional and private matters, and act with sound social judgement.
- We understand and comply with the Company’s management policies, Philosophy & Policy (Freedom & Discipline, Fairness, Speed, Sincerity, and Attitude), and internal rules, and conduct our management and business activities with integrity and sincerity.
- We conduct our management and business activities in pursuit of the following corporate objectives:

(1)Respect for Human Rights and Prohibition of All Forms of Discrimination
- We do not discriminate on the grounds of race, ethnicity, colour, nationality, place of origin, language, religion, thought or belief, sex, sexual orientation, age, disability, physical characteristics, family or marital status, social status, property, or any other attribute.
- We do not tolerate any form of harassment and strictly prohibit sexual harassment and abuse of authority.
- In advertising, public relations, recruitment, and other external communications, we avoid expressions that reinforce stereotypical roles or prejudice based on sex or other attributes, and strive to communicate in a manner that respects diversity and human rights.
- In accordance with the separately established JAC Group Human Rights Policy, we work to prevent, mitigate, and remedy adverse human rights impacts.

- We respect the human rights of every individual and strive to create a workplace in which each person can make the fullest use of their individuality, motivation, and abilities.

- JAC Group strives to improve working conditions and enhance the financial, mental, and time-related well-being of its officers and employees.
(5)Respect for Workers’ Rights
- JAC Group supports the Ten Principles of the United Nations Global Compact and other internationally recognised human rights and labour principles. We comply with the laws and regulations of the countries and regions in which we operate, respect freedom of association, the right to collective bargaining, and other fundamental workers’ rights, and do not engage in any adverse treatment on the grounds of the exercise of such rights.
- JAC Group continuously improves the workplace and working environment through sincere dialogue with employees.
(1)Acting with Integrity towards Client Companies and Candidates
- We engage sincerely with client companies and candidates and strive to improve the quality of our services through high levels of expertise and ethical standards.
- We provide client companies and candidates with accurate and appropriate information and seek to build relationships of trust by delivering services with integrity that respect the rights and interests of both parties. All commitments and explanations made to client companies and candidates are based on facts and presented so as not to mislead.
(2)Fair Competition
- We compete fairly and freely with other companies in our industry in accordance with the competition laws and regulations of each country in which we operate.
- We do not use improper means in the sale of, or procurement of orders for, products and services.
(3)Relations with Anti-social Forces
- We have no association whatsoever with anti-social forces that threaten public order or sound corporate activity.
- We do not provide anti-social forces with financial or other economic benefits.
(4)Prevention of Corruption
- We maintain sound and proper relationships with political and government bodies.
- We prohibit bribery, the provision of improper benefits, slush funds, kickbacks, facilitation payments, and all other forms of corrupt conduct. Political contributions and other external financial expenditures are made appropriately in accordance with applicable laws, regulations, and internal rules.
- We do not give or receive money or hospitality for an improper business or personal advantage, nor do we offer or accept gifts or hospitality beyond socially acceptable limits. We do not provide improper benefits or hospitality to public officials or persons in equivalent positions.
- We do not become involved in money laundering or other illicit financial flows.
(5)Prohibition of Conflicts of Interest
- We avoid situations in which personal interests conflict with the interests of JAC Group and follow the procedures prescribed by internal rules where an actual or potential conflict of interest arises.
- We do not use our positions within the Company to provide improper favours to family members, friends, or other related persons, and conduct ourselves so as to avoid any suspicion of impropriety.
(6)Corporate Disclosure and Appropriate Financial Reporting
- We provide timely and appropriate corporate information to business partners, registered candidates, shareholders, investors, and other stakeholders.
- We seek to ensure the accuracy of accounting records and financial reporting and do not engage in intentional falsification or any other fraudulent conduct.
(7)Tax Transparency
- We comply with the tax laws of each country in which we operate and promote tax transparency through appropriate disclosure in accordance with applicable laws and regulations.
- We do not engage in improper tax avoidance, including the improper use of tax havens. Transactions with overseas subsidiaries are conducted in accordance with the transfer pricing rules of the relevant countries, and we strive to ensure appropriate tax treatment based on the arm’s length principle.
(1)Confidentiality
- We do not use or disclose non-public personal information, business information, or other confidential information obtained in the course of our work beyond the authorised purpose, scope, or period.
(2)Protection of Intellectual Property
- We appropriately protect our intellectual property, brands, know-how, and other intangible assets, respect the intellectual property rights of third parties, and do not improperly acquire, use, or infringe such rights.
(3)Insider Trading
- We do not engage in insider trading.
(4)Respect for Individual Privacy
- We respect each individual’s privacy, exercise the utmost care when handling personal information, and strive to manage it appropriately.
(5)Information Security
- We establish appropriate security arrangements to prevent information leaks and other incidents and continuously improve those arrangements.
- To maintain the confidentiality, integrity, and availability of information assets, we appropriately manage personal information, client information, and other confidential information, and do not misuse, improperly disclose, or leak information obtained through our work.
- We use information systems and digital technologies appropriately and work to prevent unauthorised access, information leaks, and cyberattacks.
(1)Engagement with Local Communities
- As a responsible corporate citizen, JAC Group deepens its engagement with local communities and contributes to society, including through participation in community activities.
- We contribute to regional revitalisation and job creation through our recruitment business. We also contribute to the development of local communities by employing local talent in the countries and regions where we operate.
(2)Addressing Environmental Issues
- We recognise that environmental issues, including climate change mitigation and adaptation, the conservation of natural capital and biodiversity, and the promotion of resource circularity, are important challenges shared by humanity and fundamental to business activity. We contribute to addressing these issues in collaboration with clients, business partners, NPOs, and other stakeholders.
- In conducting our business activities, we proactively address environmental issues through the efficient use of resources, energy conservation, and other measures.
- Through the placement of professionals with companies addressing environmental and other social issues, and of professionals who advance sustainability management within organisations, we contribute to the sustainability of society.
(1)Compliance Framework
- Compliance with this Policy is promoted as part of JAC Group’s internal control system under the oversight of the Board of Directors.
- We maintain an internal reporting channel for conduct that may breach this Policy. Reports may be made anonymously, are handled in strict confidence, and retaliation against any person who raises a concern is strictly prohibited.
(2)Education and Training
- We provide appropriate education and training on compliance with this Policy and the importance of ethical conduct in management and business activities, and work to embed these principles throughout JAC Group.
(3)Response to Breaches of this Policy
- Where a serious breach of this Policy occurs, management takes the lead in mobilising the Company to resolve the matter, identify its cause, and prevent recurrence.
- We disclose information regarding breaches of this Policy promptly and appropriately, both internally and externally, and fulfil our accountability.
- JAC Group responds appropriately in accordance with applicable laws and regulations and internal rules, including the Rules of Employment.
- This Policy is reviewed as appropriate in response to changes in the business environment and the results of monitoring.
